GL&V Signs Letter of Intent to Acquire EIMCO

MONTREAL--(BUSINESS WIRE)--Aug. 13, 2002-- GL&V announces that it has signed a letter of intent with Baker Hughes Incorporated to acquire its EIMCO Process Equipment division. Headquartered in Salt Lake City, Utah, EIMCO is one of the world's leading suppliers of high-performance technologies for liquid/solid separation processes serving various industries such as chemicals and petrochemicals, mining and minerals, municipal and industrial water treatment, power generation, and waste water treatment. With sales of US$180 million (Cdn$280 million) for its last fiscal year, EIMCO has earned an international reputation and strong brand recognition for its top-quality products and services.

Click here"This highly strategic acquisition would make a major contribution to GL&V's sales and profit growth," said Laurent Verreault, President and Chief Executive Officer. "Given the synergies between our organizations, expertise and international networks, we believe we can create significant economies of scale annually within three years. In addition, this acquisition would triple our Process Group's sales, which would fit perfectly with our strategic goal of better balancing our revenues between our two major business segments: the Pulp and Paper Group and the Process Group. In fact, the acquisition of EIMCO would bring the proportion of our revenues from the pulp and paper industry from 70% to about 40% of our total business."

Having been in business more than 100 years, EIMCO benefits from an extensive base of installed equipment in operation around the world, which holds considerable potential for aftermarket services, GL&V's main business segment.

"Finally, like GL&V, EIMCO outsources most of its manufacturing to an international network of subcontractors and operates only one plant, in Salt Lake City, which represents a great advantage in terms of operational profitability and flexibility," added CEO Laurent Verreault.

This acquisition, which would be GL&V's largest in its history, is subject to customary conditions, including financing, due diligence and regulatory and board approvals. If successful, it is expected the transaction would be finalized toward the end of October and would be financed by bank debt.

Founded in 1975, GL&V is a world leader in the design, manufacture, upgrading, and after-sales servicing of engineered equipment used in pulp and paper production and in liquid/solid separation processes. Besides the pulp and paper industry, the Company serves various industrial sectors such as mining and minerals, chemicals and food, energy and the environment.

GL&V holds the proprietary rights to a portfolio of technologies and trademarks recognized around the world. Besides its own manufacturing facilities in North America, its products are manufactured primarily by an international network of subcontractor partners, providing the Company with rapid execution and a competitive cost structure that can easily be adapted to market fluctuations. A world-class integrated supplier, GL&V employs some 1,200 people and is present in 40 countries on five continents.

Smart Probes

New Low-Cost BaroTroll

WY: In-Situ Inc., a world-class manufacturer of water monitoring devices, has added BaroTroll, a new low-cost barometric smart-probe to the Troll product line. This device complements the non-gauged (absolute) versions of the current In-Situ Troll product line by allowing up-hole placement of an inexpensive barometric logger. Ambient barometric data compensation is easily achieved through a new 1-step software enhancement in the included Win-Situ software.

Click hereThe new BaroTroll barometric logger was introduced primarily to enhance data accuracy in all non-gauged (absolute) installations of the miniTroll Standard-A version of the popular miniTroll smart level/pressure probe. It can also be used with any of the other non-gauged probes in the current Troll product line. The BaroTroll option allows field technicians the option of deploying a network of lower cost non-gauged probes, while monitoring atmospheric pressure changes with one above-ground barometric logger.

Atmospheric pressure changes are known to have an effect on the height of water columns, particularly in closed aquifers, but also to a lesser degree on open aquifers. By monitoring these atmospheric pressure changes, and incorporating the subsequent data into test results, an extremely accurate characterization may be achieved. The barometric data may be easily merged into the water level data set using a new wizard included in the new version of In-Situ's Win-Situ 4.0 software.

After merging data, the technician has the option of automatically compensating his final data set for any atmospheric pressure changes. The new BaroTroll is highly accurate and is designed to work at any atmospheric level from below sea level to over 18,000 feet (5500m). Accuracy is 0.1% of full scale with automatic temperature compensation. It was introduced primarily to enhance the data quality in In-Situ's miniTroll Standard-A, non-gauged (absolute), product line but may be used with all current Troll products.

Founded in 1980, In-Situ, Inc. is a world-class manufacturer of water monitoring devices. The company manufactures a wide range of field deployable products for the study of water level/pressure and water quality.

Prevents Floatable Grease in Lift Stations

Product Blocks Fat, Oil From Wastewater Collection Systems

SARASOTA, Fla. –Advanced BioCatalytics Corporation (ABC) of Newport Beach, Calif. and USFilter’s Davis Products have signed a marketing agreement allowing USFilter to distribute ABC’s Accell product line within the United States and Canada.

“We are delighted to have USFilter’s Davis Products as the distributor for Advanced BioCatalytics' products in the wastewater collection systems market. No other company has earned the reputation for combining technology with a commitment to customer service as has Davis Products in the collection system sector,” says Ray Hardy, managing director of the Water and Environment Group of ABC.

USFilter will distribute Accell, a non-toxic liquid designed to eliminate the accumulation of fats and oils in wastewater collection systems. When added to wastewater collection lines, Accell prevents floatable grease buildup in lift station wet wells and eliminates grease from clogged sewer lines. Grease, fats and oils are rapidly metabolized by the existing bacteria already present in the wastewater collection system.

“We are excited about the synergy that this technology has with our line of liquid phase odor control products and service programs. We know that grease problems are second only to odor issues for many of our customers and we look forward to helping them in this respect as well,” says David Hunniford, general manager of USFilter’s Davis Products.

ABC, founded in 1996, is a biotechnology company whose core technology, Molecular Kinetics, is based on protein structure function and cell surface modification. ABC's bioaccelerator, Accell, speeds the rate of microbial digestion of organic contaminants such as grease, proteins and carbohydrates. The product is used to treat collection systems, wet wells, grease traps. Accell is also used in industrial and municipal wastewater treatment plants to improve process performance and significantly reduce operating costs.

Founded in 1938, USFilter’s Davis Products designs and manufactures a wide range of water and wastewater treatment products. Through its two facilities in Sarasota, Fla. and Thomasville, Ga., Davis Products provides unmatched technologies for liquid phase odor control, biological treatment, liquid/solid separations, filtration, sludge drying, and retrofit and renovation services. Davis Products is also the sole distributor of EMU wet pit/dry pit pumps and EMU submersible mixers and jet aerators.

Mr. Potter wants more info on calcium thiosulfate:

Has anyone investigated the use of calcium thiosulfate, CaS2O3, for use as a dechlorination agent?  In a help forum last October, a Larry Zeper posed the same question but I was unable to contact him or find out if anyone could provide me some information on using cal thio as a non-haz substitute for SO2.

Ms. Hayward wants to monitor chlorine residuals:

I need to continuously monitor the chlorine residual from the outfall at a sewer manhole location.  My plan is to set a precast concrete building at the remote location with the analyzer in it and run a sample line down a mh 20+ feet into the 66" outfall pipe.  I am planning on using PE tubing with a strainer.  My concern is how to will install the sample line so that 1) It isn't ripped out of the pipe by the flow 2) the sample line doesn't just pull solids from the bottom of the pipe?

Should it be anchored to the side of the pipe? Should there be some sort of a float system? (Click here to post a reply)

Any Ideas?
