$360 Million Sale

 
Vivendi Announces Agreement to Sell Filtration & Separations Group

PARIS--(BUSINESS WIRE)--Feb. 14, 2002--USFilter, a subsidiary of Vivendi Environnement (Paris Bourse:VIE) (NYSE:VE) announced that it has entered into an agreement to sell its Filtration and Separations Group (FSG) business to Pall Corporation, East Hills, N.Y., (NYSE:PLL) for a total cash consideration of $360 million.

FSG specializes in industrial separations technology including membrane media, consumable cartridges, screening technology and custom process equipment. Total annual sales are approximately $270 million.

The sale furthers Vivendi Environnement's announced strategy to divest non-core assets, and focus on its core environmental and water-wastewater businesses.

Total proceeds from the disposition of USFilter's filtration and separations business, including the sale of the Johnson Screens business late last year, are approximately $500 million. The transaction is expected to be completed by the end of March, and is subject only to normal regulatory approvals.

USFilter, Palm Desert, Calif., is North America's largest water company providing comprehensive water and wastewater systems and services to commercial, industrial, municipal and residential customers. Vivendi Environnement, comprised of Vivendi Water (worldwide water products and services), Onyx (solid waste and industrial services), Dalkia (energy services), Connex (transportation) and FCC (Spanish company engaged in environmental and construction-related industries), is the largest environmental services company in the world.

GE Specialty Materials to Acquire BetzDearborn

New Business Will Expand GE Into New Area and Be a Global Growth Platform

WILTON, Conn.--(BUSINESS WIRE)--Feb. 12, 2002--In a move that will launch GE into a new business segment and add $1 billion in annual sales, GE Specialty Materials, a unit of General Electric Company (NYSE:GE), today announced that it has entered into an agreement to acquire the water treatment services business of BetzDearborn from Hercules Incorporated (NYSE:HPC).

This transaction, which is subject to regulatory approval, is expected to close in spring 2002. The purchase price is $1.8 billion.

BetzDearborn is a global service company providing engineered chemical treatment of water and process systems in industrial applications. BetzDearborn is the second largest industrial water treatment service business in the world. Globally, the water treatment business segment is a $6 billion opportunity.

"BetzDearborn is a great fit for our expanding business," said William Woodburn, president and chief executive officer of GE Specialty Materials. "GE Specialty Materials is a growth platform for strong technology and service content businesses. This acquisition opens the door for GE to utilize approximately 2,000 experienced BetzDearborn sales engineers to distribute to their customers innovative products and services derived from technology used at GE Medical Systems, GE Power Systems and the GE Global Research Center. Applying GE technology from these businesses creates the opportunity to offer customers new, advanced equipment and corrosion diagnostic services. This is also a technically savvy organization which will quickly adopt GE's initiatives of Six Sigma and Digitization."

I am looking for help identifying the manufacturer of a multimedia sand filter. The only info I have is what I assume is the model number TF-14652750.  This particular filter is being used to provide drinking water for a camp site in Wilcox, AZ

Mr. Gott is looking for packing media:

I am looking for a supplier of plastic random dump type filter media. I have a small municipality looking to change this type of media in a draft aerator they have at their water plant. The current media is approximately 3-inches spherical.

Any help would certainly be appreciated.
