A. O. Smith Reaches Agreement to Sell Storage Tank Business
------------------------------------------------------------
MILWAUKEE, Dec. 18 /PRNewswire/ -- A. O. Smith Corporation
(NYSE: AOS) (Amex: SMC) today announced a definitive agreement
to sell its Engineered Storage Products Company to CST Industries,
Inc. of Kansas City, Kan. The companies expect to close the sale
early in January 2001.
With the completion of this sale, A. O. Smith concludes the
divestiture of its Storage and Fluid Handling Technology
platform. On December 11, the company announced the sale of its
fiberglass pipe business to two subsidiaries of Varco International
of Houston, Texas. The combined cash proceeds from these sales
total approximately $63 million. The company will recognize a
$14 million after-tax charge to discontinued operations related
to these transactions, as well as adjustments related to a prior
year's transaction.
A. O. Smith Engineered Storage Products Company, with headquarters
in DeKalb, Ill., manufactures shop-welded, bolted, and SealWeld
storage tanks for municipal, industrial, and agricultural applications
worldwide. The company has plants in Winchester, Tenn., and
Parsons, Kan., in addition to its facilities in DeKalb and employs
approximately 450 people.
"This transaction represents an important step in A. O. Smith's
ongoing strategy to concentrate on the electric motor and water
heater businesses," O'Toole observed. "The company is now well
positioned to achieve its financial objectives of generating
above-average sales and profit growth."

headquarters in Milwaukee, Wis. Its major product lines include
fractional horsepower, hermetic, and integral horsepower electric
motors, residential and commercial water heating equipment, and

Aqua Care Systems, Inc. Announces Sale Of The Assets
------------------------------------------------------------
CORAL SPRINGS, Fla., Jan. 2 /PRNewswire/ -- Aqua Care Systems,
Inc., (Nasdaq: AQCR), announced today that it consummated the
sale of the assets of its subsidiary DuraMeter Pump Company,
Inc., ("DMPC"), to Haskel International, Inc. effective
December 28, 2000. In connection with this divestiture, Aqua
Care Systems retained the land and building in Angola, New York,
where the operations of DMPC are located. The Asset Purchase
Agreement provides for, among other things, an initial purchase
price payment of $3,750,000 in cash and prospective earnout
payments aggregating $1,000,000, based upon the achievement of
certain net sales levels of DMPC products over the next two years.
Additional terms of this transaction were not disclosed.
Among the reasons for this sale were the Company's desire to
convert certain of its assets into cash in order to pay off
12% subordinated secured debentures, the principal amount of
which aggregated $1,150,000 as of the date of this divestiture,
and to facilitate future external growth. Pursuant to this
transaction, the Company increased its cash position by approximately
200%, reduced its debt by approximately 40% and lowered its
annualized interest expense by approximately $160,000.
Norman J. Hoskin, the Company's President and CEO, stated,
"Although this divestiture was unsolicited, we believe that
the sale price and terms provide the Company and its existing
shareholders with more upside in the short term, than the
benefits that may have been derived in the future, had Aqua
Care Systems continued to develop DMPC. Additionally, the
proceeds of the sale will assist the Company in its constant
pursuit of profitability and stock price appreciation."
Aqua Care Systems, Inc., based in Coral Springs, Florida,
designs, manufactures and sells fluid handling, filtration and
water purification systems and products.

Danaher Corporation Announces Purchase of Zellweger Analytics
------------------------------------------------------------
WASHINGTON, Dec. 19 /PRNewswire/ -- Danaher Corporation (NYSE:
DHR) announced today that it has purchased the Zellweger
Analytics water analysis business from Zellweger Luwa, AG
(Switzerland: ZEL) for approximately $40 million. Danaher
expects the effect of the acquisition to be neutral to 2001
earnings.
Zellweger Analytics, with approximately $30 million in revenues,
is a market leader in ultra-pure, drinking, and waste water
analysis in Europe and the U.S. Zellweger is a leader in
industrial pH, conductivity, and total organic carbon instruments,
and also provides Danaher with high-end automated laboratory
measurement capabilities in the ion analysis and chromatography
markets.
"The Zellweger Analytics business is an excellent geographical
and technological fit with our existing water quality platform.
We are now the first company to provide a complete range of
parameter analysis instruments to the marketplace," remarked

Lynn, Mass., Signs $48 Million Contract with USFilter
------------------------------------------------------------
Nation’s First CSO Design/Build Contract Saves City $400 M.
LYNN, Mass., Dec. 7, 2000 - The Lynn, Mass., Water and Sewer
Commission has awarded USFilter Operating Services a contract
to design and build a system to mitigate combined sewer
overflows (CSO). Valued at $48 million, the nine-year capital
improvement plan is believed to be the nation’s first CSO
design/build project and, according to city estimates, is
expected to save approximately $400 million. To date, cities
have typically bid engineering design and construction
services in separate procurements.
USFilter has teamed with the Maguire Group and Gioioso
Construction for engineering and construction services.
"The cost savings with the design/build competition was
incredible," said Lynn Mayor Patrick McManus. "We will be
fully compliant with the mandates of the Clean Water Act at
a small fraction of the original estimated costs. I encourage
every community and system in the U.S. to study the
design/build model. I guarantee that high quality at
astounding savings will be achieved. In Lynn, we let the
professionals compete with each other and it worked
tremendously. That’s great!"
Combined sewer systems were designed to convey sanitary
sewage as well as storm water through a single pipeline
system to a sewage treatment plant. During excessive
rainfall, the capacities of the pipelines and treatment
plant are often exceeded causing overflows at one or more
"relief points" (CSO) in the system. Unless properly
controlled, sanitary sewage and storm water mixtures from
CSOs are discharged directly into nearby rivers, lakes
and harbors without treatment. This is exactly the case
in Lynn, causing the issuance of a consent order from
the Department of Justice.
"Lynn selected the USFilter team based on its ability to
bring innovation and cost savings to the table," said
John Lucey, senior vice president, engineering and
construction, USFilter Operating Services. "Our
design/build approach, coupled with an innovative plan
to maintain the city’s existing pipeline for storm
drainage while building a new pipeline for sewage, was
the catalyst behind these savings. Our sewer separation
recommendation included relatively small-size sanitary
sewers as opposed to large storm drains, enabling us to
drive costs down. We commend the Commission on accepting
this innovative approach to solve a very complex problem,
especially because it saves ratepayers millions of
dollars while minimizing construction inconvenience."
According to Lucey, the selected team has experience in
Lynn and its surrounding areas. USFilter has operated
Lynn’s 25 million gallons per day (MGD) wastewater
treatment plant since 1985 and with its affiliates the
15.3 MGD surface water plant since 1992, serving the
communities of Lynn, Nahant, Saugus, and Swampscott.
Gioioso Construction has been involved with numerous
sewer construction projects in Lynn and the surrounding
areas, and the Maguire Group is involved with a similar
project in Cambridge, Mass.
In addition to offering savings and innovation, the
USFilter team has committed to keeping the community
abreast of the construction process and schedule. "We
want to make the process seamless. Through a community
education campaign about road closures and detours
related to the construction, we hope to curtail any
inconveniences that might be caused by this improvement
plan," added Lucey.

Description of Duties: The Industrial Sales Engineer is
responsible for expanding market share by developing sales
strategies, building strong relationships with prospects
and customers and creating/pursuing sales leads. Individual

defining technology applications and ensuring preparation
of proposals. Knowledge of process water and wastewater
