UV : Danaher Corp. To Acquire Trojan Technologies

LONDON, ON -- Trojan Technologies Inc. announced today that it has entered into a definitive acquisition agreement pursuant to which Danaher Corporation, a leading manufacturer of process/environmental controls, will cause its wholly owned subsidiary to offer to acquire all of the outstanding common shares of Trojan for cash consideration of CDN $10.65 per share by way of a public take-over bid. This represents a premium of 36% to Trojan's closing price of $7.85 per share on September 17, 2004. The equity value of the acquisition, assuming that 23.2 million Trojan common shares are outstanding and tendered to the offer, is approximately CDN $247 million.

Danaher's President and CEO, Mr. H. Lawrence Culp, Jr. said, "The acquisition of Trojan brings another premier brand name to Danaher's Water Quality platform and broadens our footprint into the high growth advanced water treatment segment. We look forward to working with the associates and management of Trojan as we continue to build on the strong foundation already established in this attractive industry."

Marvin DeVries, President and CEO of Trojan, said the transaction would provide the company with enhanced access to financial resources and a stronger global base. "Both Trojan and Danaher share a common vision of providing innovative solutions for advanced water treatment. By joining forces, we will be able to expand at a faster pace into important emerging markets such as China, Eastern Europe and India. We look forward to this new and exciting chapter in Trojan's business."

The Board of Directors of Trojan has unanimously agreed to support the offer as it is in the best interests of Trojan's shareholders, and will unanimously recommend that Trojan shareholders tender their shares. The Board's recommendation follows the receipt of the unanimous recommendation of the Strategy Review Committee previously established by the Board of Directors to consider all of Trojan's strategic alternatives.

Danaher's offer will be mailed to Trojan shareholders and option holders within 10 business days of this announcement. Completion of the offer will be conditional upon at least 66-2/3% of the Trojan common shares, calculated on a fully diluted basis, being tendered to the offer as well as other customary conditions, including receipt of all necessary regulatory approvals, and is expected to close in the 4th quarter of 2004.

Biggest : 2004 Ground Water Expo Sizing Up to be Best Ever

LAS VEGAS, NV -- An estimated 280 exhibitors and more than 60,000 square feet of exhibit space along with professional development opportunities are expected to draw a big crowd to the 2004 Ground Water Expo sponsored by the National Ground Water Association.

"The Las Vegas venue for the Ground Water Expo has grown in the last several years, and we anticipate another strong turnout again this year," said NGWA Executive Director Kevin McCray.

As the industry’s largest trade show, the Expo showcases the latest equipment and technology in the water well industry. "A considerable amount of business is transacted at the Expo, both nationally and internationally," McCray said.

According to NGWA’s 2003 Survey of the Ground Water Contracting Industry, owners and presidents of ground water firms who are active members of NGWA are more likely to buy new equipment and make purchases of most types of equipment over the next year. Last year, these individuals spent nearly $240 million on equipment and products for their businesses. The survey was conducted independently by Research U.S.A.

Weekly Update #49 : Iraq Reconstruction - 9/16/04

Washington, DC -- Weekly Update #49 -- This fact sheet highlights overall accomplishments and some weekly activities from USAID’s reconstruction efforts in Iraq. For more information on USAID’s programs in Iraq please see: www.usaid.gov/iraq

 

Highlights this Week:

• A water system rehabilitation and modeling project will help improve the quantity of potable water delivered in Baghdad. The project scope includes data collection, numerical modeling of Baghdad’s water distribution network, and replacement of damaged sections of the pipe in the distribution network. This project is scheduled for completion in December 2005.

• The rehabilitation of a wastewater treatment plant in central Iraq is on schedule for completion by mid-November 2004. Once completed, the plant will have the capacity to serve more than 53,000 Iraqis.  Currently, the plant is non-functional and septic sewage is discharged directly into the Tigris river through a bypass channel, causing a major health concern for local residents. The project will rehabilitate the facility by restoring two service network pumping stations, cleaning the plant’s aeration tanks and distribution chambers, and replacing and refurbishing unit processes along the sewage plant process train prior to the re introduction of flow through the plant to treatment.

• A new sewage network is being installed in a Salah ad Din Governorate town. The town was using an open sewer system which flowed through the market area and overflowed during the rainy season, causing a serious public health hazard. Under USAID’s Community Action Program, community members are working together to build a new underground system with 1,988 meters of pipe. This project will benefit approximately 9,000 Iraqis.

• USAID’s rehabilitation of a major water treatment plant in At’ Tamim Governorate is on schedule for completion by November. The work, which began in June 2004, is approximately 40 percent complete. Currently, both civil and mechanical/electrical contractors are working at the site. The major goal of this project is to repair leaks and mechanical and electrical equipment in the plant’s structure which are preventing the distribution of potable water.

I have something that came across my mind wondering how does ammonia stripping contribute to COD removal instead of just stripped off the ammoniacal content of the waste.  FYI, The waste at my factory is formaldehyde resin waste.  (Click here to post a reply)
